A signed document stating: "The undersigned, constituting all of the members of the Board of Directors of Brother Duck, Inc., have read the foregoing and stipulate that it accurately reflects all of the transactions conducted by the Board of Directors on behalf of Brother Duck, Inc., at the above mentioned meeting." Signed by Dennis E. Provisor, Warren D. Entner, Robert F. Grill, and Eric M. Coonce in blue ballpoint pen.
